United Business Media LLC and Microsoft Corporation "Dr. Dobbs Challenge Deuce" OFFICIAL RULES NO PURCHASE NECESSARY Dr. Dobbs Challenge Deuce (the “Contest”) is being sponsored by United Business Media LLC (“UBM” or “Sponsor” and Microsoft Corporation (“Microsoft” or “Sponsor”), (collectively, “Sponsors”). Each person or entity who enters the Contest (each, an “Entrant”) agrees to abide by the terms of these Official Rules and by the decisions of the Sponsors and its judges, which are final and binding on all matters pertaining to the Contest. HOW TO ENTER To enter the Contest, an Entrant who is otherwise eligible under these Official Rules must submit all of the following materials at any time between 12:00 a.m. P.S.T. on February 09, 2009 and 11:59 p.m. P.D.T. on June 12th, 2009(the “Entry Deadline”): Completed game level hosted on DobbsChallenge site or modified code and art downloaded by entrant. Entrants may obtain and submit official entry form, located on the Contest application page of website, www.dobbschallenge2.com (the “Contest Website”). A digital link to the game being entered (an “Entered Game” – entrants must develop a level using the in-game browser or download the code and modify it, also referred to as an “Entry”, or “Entries”), may be submitted by uploading the link to the official Dobbs Challenge site at DobbsChallenge.com. To enter by mail without purchase, send your name, company name (if available), address (specify home or business), telephone number (specify home or business) and e-mail address to United Business Media LLC, Attention: Simon Carless, 600 Harrison Street, 6th Floor, San Francisco, CA 94107, Attention: Simon Carless. All entries by internet registration must be received on or before 11:59 p.m. EDT June 30, 2009 and all mailed entries must be received by 11:59 p.m. EDT July 7, 2009. WINNER SELECTION PROCESS Entries will be evaluated by a panel of judges (the “Judging Committee”). The Judging Committee will review the Entries and select winners, based upon originality and creativity. Each member of the Judging Committee will select one (1) winner from the Entries in each Category. The Game with the most votes in a Category will be the “Winning Entry” for that Category. In the event of a tie vote in any Category, the Winning Game will be selected by the chairperson of the Judging Committee. All Winning Games will be announced on July 10, 2009. Categories 1 through 4 (including “Best Game”, “Best One Button Game”, “Best Game Starring Dr. Dobbs and the Defy all Challenges Crew”, and “Best Total Conversion” are eligible to those Entrants who download the source code and modify the code and the graphics. Entrants are eligible to win in all categories entered. Categories 5 and 6 (“Monthly Best Levels” and “Weekly Best Levels”) are available for submission only by Entrants who create an in-browser level modification using Silverlight. Contestants may win in Categories 5 and 6, but may win only one prize in each of the two categories. 1. Best Game, 2. Best One Button Game, 3. Weekly Best Levels WINNER PRIZES The eligible winners will be selected from each category below and one (1) prize will be awarded to each eligible winner. Each Entrant who submits the Winning Game in a Category (each, a “Winner”) will receive the prize indicated below for that Category: Best Game One (1) prize: Two thousand dollars US ($2,000 US) Best One Button Game One (1) prize: One thousand dollars US ($1,000 US) Best Game Starring Dr. Dobb's And The Defy All Challenges Crew: One (1) prize: One thousand dollars US ($1,000) Best Total Conversion One (1) prize: One thousand dollars US ($1,000 US) Monthly Best Levels One (1) prize to each of four (4) winners valued at five hundred dollars US ($500 US) Weekly Best Levels (Dr. Dobbs "Bobblehead") One (1) prize to each of twelve (12) winners valued at Twenty dollars US ($20.00 US) per Bobblehead prize Total Approximate Value of all Prizes: Seven thousand two hundred and forty dollars US ($7,240.00 US) PRIZE TERMS All monetary amounts in these Official Rules are indicated in United States dollars and all monetary prizes will be awarded in the form of checks or money orders in United States dollars. Each eligible winner will be solely responsible for bearing any income or other taxes, fees, or other costs relating to any prize. ELIGIBILITY: Contest open to legal residents of the 50 United States, including the District of Columbia (but not Puerto Rico) who are 18 years or older. Persons in any of the following categories are not eligible to participate or win the prize(s) offered: (a) Employees or agents of Sponsors, their parent companies, affiliates and subsidiaries, participating advertising and promotion agencies, application development partner companies, and prize supplier; (b) immediate family members (defined as parents, children, siblings, spouse or domestic partner, regardless of where they reside) and/or those living in the same household as any person in (a) above; and (c) employees of any government entity. Entrants must have access to the Internet, a valid email address, and the ability to run software on a computer by February 1, 2009 in order to enter. Multiple entries on the Web Site per person permitted. Odds of winning are determined by the total number of entries received. The use of any automated devices in connection with this promotion is prohibited. Entries made on the Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. In the event of a dispute, chosen winner may be required to provide proof that he/she is the authorized account holder of the respective e-mail address associated with the potentially winning entry. No responsibility is assumed by Sponsors for lost, late, or misdirected entries or any computer, online, telephone, or technical malfunctions that may occur. All entries become the property of Sponsors and will not be returned. Odds of winning a prize depend on the number of eligible entries received. No substitution, transfer, or assignment of prize permitted, except that Sponsors reserve the right to substitute a prize of equivalent value in the event the offered prize is unavailable. All other expenses not specified herein are the responsibility of the winners. ALL TAXES AND ANY APPLICABLE WITHHOLDING AND REPORTING REQUIREMENTS ARE THE SOLE RESPONSIBILITY OF THE WINNERS. The prize(s) will be awarded to the winner, drawn at random. In the event of unavailability of any of the stated prizes, Sponsors reserve the right to substitute items of equal or greater value. Prizes are not transferable, exchangeable, or redeemable for cash. Taxes are the sole responsibility of individual winners. CONTEST SPECIFIC REQUIREMENTS In addition to the foregoing general eligibility requirements, the following additional requirements must be met: Entry Created Using Provided Materials: The Nominating Committee must be confident that the submitted game was created using the provided "Dr Dobb's Challenge Deuce" materials provided in both Windows and Windows Mobile formats located at DobbsChallenge.com. The Nominating Committee reserves the right to refuse any game at its sole discretion. Uses Visual Studio Icons: Visual Studio Icons must be used as some form of collectible within the submitted game. Use of Third Party Technology: Games that make use of third party game engines, middleware, or other software or technology are only eligible if the Entrant has all necessary rights to commercially publish the game. For instance, if an Entrant does not have full legal rights to commercially release a game using the Quake III engine, that game is not eligible for the Contest. Any such entries will be disqualified by the Judging Committee. Rights: Before submitting an Entered Game, the Entrant must have obtained the written permission of all persons or entities having any rights in the Entered Game. Updates: Entered Game updates are permitted during the Nominating Period. However, Sponsor does not guarantee the viewing or application of every patch/update by the Nominating Committee. State of Development: All Entered Games must be in a "beta" state or better (i.e., Entered Games must be feature-complete). At least one (1) level of each Entered Game must be complete and fully playable. RELEASE By entering the Contest, each Entrant releases and holds harmless Sponsor, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, agents, and employees from any and all responsibility or liability arising out of or relating to: (i) any personal injury, death, property (including computer) damage, or other loss or claim of any kind arising from or in connection with any violation of these Official Rules; the Contest, the Conference or any Entered Game; the acceptance, possession, or use of any prize (ii) any entry or other materials that have been tampered with, that are misdirected, incomplete, incorrect, non-conforming, corrupt, lost, late, or ineligible, or, with respect to mail-in entries or materials, that are sent postage due; and (iii) computer, telephone, cable, satellite, network, hardware, software, or other technical malfunctions or failures; garbled or jumbled transmissions; Internet or website inaccessibility or delays; printing or typographical errors in any Contest or Conference materials; or any other technical or human errors occurring in connection with the Contest or Conference. By entering the Contest, each Entrant consents to the use of the Entrant’s name, photograph and likeness (if an individual), logo (if any), state of residence, and Entered Game for advertising, promotion, marketing, and administration of the Contest without additional compensation, to the extent permitted by law. Each entrant further agrees that Sponsor may use any and all information collected through the Contest, including the Entrant’s name and contact information, for marketing or other purposes whether or not related to the Contest, to the extent permitted by law and Sponsor’s privacy policy, which may be found on the Contest Website. REPRESENTATIONS By entering the Contest, each individual submitting entry materials (including an Entered Game) represents and warrants to Sponsor that: such individual either is the Entrant (if the Entrant is an individual) or is a fully authorized representative of the Entrant (if the Entrant is a business entity); the Entrant and the Entered Game fully comply with all eligibility requirements and all other provisions of these Official Rules; in preparing the Entered Game and entering and participating in the Contest, the Entrant has complied and will comply in all respects with all applicable laws, regulations, and rules and has not violated nor will violate any agreement or understanding by which it is bound, including any confidentiality, employment, consulting, intellectual property assignment, or license agreement; the Entered Game consists entirely of Entrant’s own original work or of work to which Entrant has all necessary rights; and neither the Entered Game nor the duplication, use, display, performance, or distribution of the Entered Game will infringe or misappropriate any intellectual property or other proprietary rights of any person or entity. CONDITIONS OF PARTICIPATION: All federal, state, provincial, and local laws and regulations apply. By participating in this Contest, contestants agree to be bound by the terms of these Official Rules and by the decisions of Sponsors, which are final and binding on all matters pertaining to this Contest. All winner(s) will be required to sign and return an affidavit of eligibility, liability release and grant permission to use his/her name, and likeness, for advertising and promotion (without further compensation to the winner(s)) within 15 days of notification or an alternate winner(s) will be selected. Sponsors are not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prize. A participant may be prohibited from participating in this Contest if, in the Sponsors’ sole discretion, Sponsors reasonably believe that the participant has attempted to undermine the legitimate operation of this contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other contestants, the Sponsors or associated agencies. NO RECOURSE TO JUDICIAL OR OTHER PROCEDURES: To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this contest are hereby excluded, and any participant expressly waives any and all such rights. Entrants agree that these Official Rules are governed by the laws of the State of New York, USA. DATA PRIVACY: Sponsors reserve the right to use any and all information related to the Dr. Dobbs Challenge Deuce ("Contest"), including information on contestants obtained through the Contest, for marketing purposes or any other purposes, unless prohibited by law. Each Entrant acknowledges and agrees that all entry data becomes the property of Sponsors. Contestants agree that personal data, especially names and addresses, may be processed, stored and otherwise used for the purposes and within the context of the contest and any other purposes outlined in these Official Rules. The data may also be used by the Sponsors in order to check contestant’s identity, their postal address and telephone number, or to otherwise verify their eligibility to participate in the Contest and to receive any prize. WARRANTY AND INDEMNITY: To the maximum extent permitted by law, each Entrant indemnifies and agrees to keep indemnified the Sponsors, their parent, subsidiaries, agents (including, but not limited to vendors providing services in connection with the administration of the Contest), directors, officers, employees, representatives, and assigns ("Indemnified Parties") harmless at all times from and against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which the Indemnified Parties will or may become liable by reason of or related or incidental to any act, default or omission by a contestant under these Official Rules including, without limitation, resulting from or in relation to any breach, non-observance, act or omission whether negligent or otherwise, pursuant to these official rules by a contestant. By entering, Entrants release Sponsors and their officers, employees, directors, agents (including, but not limited to vendors providing services in connection with the administration of the Contest) and affiliates with respect to any claims, damages, or liability arising out of the use of the prize(s) awarded herein, agree to be bound by these rules, and consent to the use of their names and likeness for advertising and/or promotional and/or marketing purposes without additional compensation. (A Tennessee resident consents to the use of his name and likeness only if such Tennessee resident expressly consents to such use.) Sponsors are not responsible for incorrect or inaccurate entry of information including, but not limited to technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof, entry materials that have been tampered with, or mail in entries that are illegible, late, lost, damaged, postage due or misdirected. Sponsors are not responsible for any injury or damage to players or any other person’s computer related to or resulting from participation or downloading any material in this promotion. Entries that have been tampered with or altered are void. Contest void where prohibited or restricted by law. ELIMINATION: Any false information provided within the context of the Contest by any participant concerning identity, postal address, telephone number, ownership of right or non-compliance with these rules or the like may result in the immediate elimination of the participant from the Contest. INTERNET: The Sponsors reserve the right to cancel, terminate, modify or suspend this contest if it becomes technically corrupted or if for any reason the Internet portion of the contest is not capable of running as planned, including infections by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of the Sponsors, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this contest. ENFORCEABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
